Job Summary
The Legal Operations Manager manages key processes that are critical to the Legal and Compliance Department that supports US based Terumo business entities, to include Latin America and operations in Canada. The Legal Operations Manager will oversee the operational and administrative aspects, reporting components, databases, sharepoint sites, company required reporting, and legal SOPs, as well as the creation and maintenance of legal agreements and amendments, to include consulting, supplier, MNDA, CDA, site and master services.
The Legal Operations Manager will be responsible for managing data from legal entities and subcontractors that the Legal department support, and ensuring the ability to track and report. In addition, is responsible for the preparation and entering of the budget, and will work closely with PACE, Clinical Affairs teams to review and process necessary agreements.
The Legal Operations Manager will be accountable for ensuring continuous cycles of improvement that enable collaboration and drive more efficient ways of working. Will work with Terumo Corporation and prepare documents and reports for the Internal Control Committee. This position reports directly to the Senior VP & General Counsel.
Job Details/Responsibilities
- File annual reports for all entities in each state, and Canada, registered to do business in
- Oversee the vendor credentialing certificate process, and insure necessary certifications are up-to-date
- Partner with cross-functional teams in support of all company contracting
- Maintain, distribute and manage all legal notices. i.e. garnishments, subpoenas, litigation
- Maintain database through Corporate Services Company
- Manage litigation cases, including
- Partnering with Local Counsel in case management
- Case Tracking (PACER)
- Prepare court fillings, to include drafting and filings for pleadings – complaints, motions, orders
- Prepare and maintain Discovery, Depositions
- Preparation for, including Deponent Outline Questions
- Prepare & support exhibits
- Review and provide summary of Testimony
- Prepare Document Production
- Manage third-party vendor compliance line event reports and database for alert line reporting
- Manage meeting materials for TAH and US subsidiary entities, including
- Americas Audit Committee (TAH)
- Boards of Directors Meetings (TAH and US subsidiary entities)
- Manage and prepare required Shareholder and Boards of Directors resolutions, including member resignations and appointments, officer resignations and appointments, capital
- Infusions/contributions, acquisitions, annual requirements, global policy approval
- Manage and maintain institutional /historical database for TAH and US subsidiary entities
- and LATAM of BOD members and Officers
- Manage and prepare Compliance Officer appointments
- Manage requests from TAH and US subsidiary and LATM entities to support requests for
- Authentication of Corporate Documents through foreign consulates and Department of State.
- Prepare and maintain internal activities internal controls for TC for Basic Profile Report (Quarterly
- Update and prepare monthly and quarterly Internal Control Activities and Compliance Activity Plan report for TAH and U.S. subsidiaries and LATAM subsidiaries, including Litigation reports for all active lawsuits for Terumo America Holding
- Oversee the technological aspects of the Legal Department, such as the resources the Legal department uses for archives and matter management
- Manage Legal Network, including network drives and documents, specified access for Legal Department associates, drive capacit
- Support Senior VP and General Counsel, including preparation for meetings, meeting scheduling, event planning, travel requirements
Knowledge, Skills and Abilities (KSA)
- Keen attention to detail
- Ability to communicate effectively both verbally & written
- Proven ability and willingness to keep sensitive information confidential
- Computer savvy, with ability to create and maintain databases
- Ability to function with minimal supervision
Qualifications/ Background Experiences
- Bachelor’s degree preferred with a minimum of 7 years’ support experience in a legal department, or equivalent combination of education, training and experience
- Experience in operations position, preference for legal background
- Experience and proficiency with Microsoft Office applications required (Excel, Word, PowerPoint, Outlook)
